A horse racing syndicate is a scheme under which a group of people agree to contribute money in return for a share of prizemoney won by a racehorse.
Certain types of syndicates fall under the jurisdiction of the Australian Securities & Investments Commission (‘ASIC’). A horse racing syndicate will generally be considered a “management investment scheme” for the purposes of the Corporations Act 2001 (Cth) (‘Corporations Act’), and therefore subject to significant regulatory requirements.
Under the Corporations Act, any horse racing scheme established by a promoter must be registered as a managed investment scheme with ASIC, unless it:
- falls within one of the statutory exemptions under the Corporations Act; or
- satisfies the requirements for exemption under the ASIC Corporations (Horse Schemes) Instrument 2016/790 (‘the Instrument’).
ASIC’s approach to the regulation of horse racing schemes is set out in Regulatory Guide 91: Horse breeding schemes and horse racing syndicates.
ASIC has appointed the Queensland Racing Integrity Commission (QRIC) as a lead regulator of horse racing syndications in Queensland.
Public promoters of horse racing syndication
Any person or entity that intends to offer ownership shares in a racehorse to the public in Queensland must obtain QRIC approval prior to publishing or making any such offer.
In addition, the person or entity must hold an Australian Financial Services Licence (‘AFSL’) issued by ASIC that authorises the provision of financial services in relation to horse racing syndicates or be an authorised representative of an AFSL holder.
Any person or entity whose activities are covered by the above description and who is not currently licensed should contact their legal adviser for advice, or QRIC for information. Until such time as an AFSL has been obtained or an authorised representative appointment has been secured, and QRIC approval granted, such a person or entity must not offer or promote shares in racehorses.
Registered promoter application process
An entity seeking to promote horse racing syndication must first:
- Apply directly to ASIC for an AFSL; or
- Approach an existing AFSL holder (listed on QRIC’s Register of Promoters) to seek appointment as an Authorised Representative.
An application for an AFLS should be lodged with ASIC: Applying for and managing an AFS licence | ASIC. The application process requires a person or entity to provide ASIC with confidence that the person or entity:
- are competent to carry on the kind of financial services business in the application;
- have sufficient financial resources to carry on the proposed business; and
- can meet the other obligations of an AFS licensee (such as training, compliance, insurance, and dispute resolution).
Once an AFSL has been granted or an Authorised Representative appointment secured, the person or entity should make an application to QRIC for approval by completing the following relevant application form(s):
- Application to be placed on QRIC’s Register of Promoters as an AFSL Holder
- Application by an AFSL Licensee to appoint an Authorised Representative
If approved, the person or entity will be eligible to promote ownership shares in racehorses in Queensland. However, no promotion or offering of racehorse shares may occur unless and until QRIC has also approved a Product Disclosure Statement (PDS).
Product Disclosure Statement
Anyone advertising, offering, or promoting shares in a horse racing scheme is required by law to give prospective members certain basic information about the scheme in which they are investing. This information needs to be contained in a PDS that describes how the scheme works, their rights, and how their investment will be managed. This is a requirement for any investment product.
The onus is on the promoter to provide the consumer will all information they require to make an informed decision. Failure to provide prospective members with a PDS may create a risk of legal action.
A PDS must describe the important features of the scheme, the terms and conditions of membership, and the obligations on members to ensure that prospective members can make a fully informed decision prior to acquiring an interest.
Any PDS must include:
- The information required by subsection 5(3) of the Instrument; and
- Sufficient other information to allow prospective members in the syndicate to make an informed decision as to whether to acquire an interest in the syndicate.
A pro forma PDS is available here.
A PDS is only valid if it is approved by QRIC prior to any offer of an interest in a racehorse is made. An application for approval by QRIC can be made by submitting a PDS.
